Terms of Service

1. Acceptance of Terms

By accessing or using TeachMeBack AI (the "Service" or "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

The Service is owned and operated by College Verse LLC ("Company", "we", "us", or "our"). TeachMeBack AI is a product of College Verse LLC.

2. Beta Service Disclaimer

TeachMeBack AI is currently offered as a beta product. The Service is provided "as is" and "as available" and may contain bugs, errors, or incomplete features. Features, pricing, and functionality are subject to change at any time without notice during the beta period.

Your use of the Service during the beta period is at your own risk. We appreciate your feedback and patience as we continue to improve the platform.

3. Age Requirement

The Service is intended solely for users who are 18 years of age or older. By using TeachMeBack AI, you represent and warrant that you are at least 18 years old. If you are under 18, you are not permitted to use the Service. We reserve the right to terminate accounts of users found to be under 18.

4. Description of Service

TeachMeBack AI is an AI-powered educational platform that enables users to upload study materials and engage in active learning by teaching AI student personas. The Service includes:

  • Uploading and processing study materials (PDFs, DOCX, PowerPoint, images, and typed notes)
  • Interactive AI teaching sessions with AI student personas
  • AI-generated flashcards and quizzes
  • Session history and progress dashboards
  • Freemium and paid subscription tiers

5. Right to Modify the Service

College Verse LLC reserves the right, at any time and without notice or liability, to: (a) modify, suspend, or discontinue the Service or any feature thereof; (b) impose limits on certain features or restrict access to parts of the Service; or (c) terminate the Service entirely. We will make reasonable efforts to notify users of significant changes, but we are not obligated to do so. Your continued use of the Service after any modification constitutes acceptance of the change.

We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service or any part thereof.

6. User Accounts

6.1 Registration

You may register using a valid email address and password or via Google Sign-In. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.

6.2 Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately via the contact form on our website of any unauthorized access or security breach.

6.3 Account Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms or for any other reason at our discretion, with or without notice.

6.4 Assignment

Your account is personal to you and may not be transferred, sold, or assigned to any other person or entity. College Verse LLC may freely assign or transfer these Terms and any rights or obligations hereunder to any third party without your consent, including in connection with a merger, acquisition, or sale of assets.

7. Subscriptions and Payments

7.1 Freemium and Paid Plans

TeachMeBack AI offers both a free tier and paid subscription plans. Features available under each plan are described on the Platform and may change at our discretion with reasonable notice.

7.2 Payment Processing

All payments are processed securely through Stripe, Inc. By purchasing a subscription, you agree to Stripe's Terms of Service and authorize us to charge your selected payment method on a recurring basis according to your chosen plan.

7.3 Billing and Renewals

Paid subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date. You are responsible for all charges incurred under your account.

7.4 How to Cancel

You may cancel your subscription at any time by navigating to Account Settings > Subscription > Cancel Plan, or by submitting a request via the contact form on our website. Cancellation takes effect at the end of the current billing period. You will retain access to paid features through the end of that period.

7.5 Refunds

We do not provide refunds for partial billing periods or unused subscription time, except where required by applicable law. If you believe you were charged in error, contact us via the contact form on our website within 30 days of the charge. Chargebacks initiated without first contacting us may result in account suspension.

7.6 Price Changes

We reserve the right to change subscription pricing with at least 30 days' written notice via email or in-app notification. Continued use of the Service after a price change takes effect constitutes your acceptance of the new pricing.

8. User Content

8.1 Your Content

You retain ownership of any study materials, notes, or other content you upload to the Platform ("User Content"). By uploading User Content, you grant College Verse LLC a limited, non-exclusive, royalty-free license to process, store, and use that content solely to provide and improve the Service.

8.2 Content Restrictions

You agree not to upload content that:

  • Infringes any third-party intellectual property or copyright rights
  • Contains malware, viruses, or harmful code
  • Is unlawful, defamatory, harassing, obscene, or otherwise objectionable
  • Violates any applicable law or regulation

8.3 Copyright Policy

College Verse LLC respects intellectual property rights. If you believe that content on the Service infringes your copyright, please contact us via the contact form on our website with details of the alleged infringement. We will review valid notices and may remove infringing content at our discretion. Repeat infringers may have their accounts terminated.

8.4 Content Removal

We reserve the right to remove any User Content that violates these Terms without notice.

9. Feedback and Suggestions

If you submit ideas, suggestions, feedback, or other input regarding the Service ("Feedback"), you hereby assign to College Verse LLC all right, title, and interest in and to such Feedback, including all intellectual property rights therein. College Verse LLC may use Feedback for any purpose without restriction, compensation, or attribution to you.

10. Acceptable Use Policy

You agree to use the Service only for lawful, educational purposes. The following conduct is strictly prohibited:

10.1 Prohibited Actions

  • Using the Service for any unlawful or fraudulent purpose
  • Uploading or sharing content that infringes third-party intellectual property rights
  • Attempting to gain unauthorized access to any portion of the Service or its systems
  • Reverse engineering, decompiling, or disassembling any part of the Service
  • Using automated bots, scrapers, or data harvesting tools without authorization
  • Interfering with or disrupting the integrity, performance, or availability of the Service
  • Impersonating any person or entity or misrepresenting your affiliation
  • Circumventing any security or access controls on the Platform
  • Reselling, sublicensing, or commercially exploiting the Service without our written consent
  • Uploading content containing malware, viruses, or any harmful or malicious code

10.2 Enforcement

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account, at our sole discretion, with or without notice. We reserve the right to report unlawful conduct to appropriate law enforcement authorities.

11. AI-Generated Content

TeachMeBack AI uses artificial intelligence to generate responses, flashcards, quizzes, and feedback (collectively, "AI Content"). You acknowledge that:

  • AI Content is generated automatically and may contain errors, inaccuracies, or outdated information
  • AI Content is provided for educational and informational purposes only and does not constitute professional academic, legal, medical, or other advice
  • You should independently verify any AI Content before relying on it
  • TeachMeBack AI is not responsible for decisions made based on AI Content

12. Intellectual Property

All elements of the TeachMeBack AI Platform, including but not limited to software, design, graphics, logos, and AI systems, are owned by or licensed to College Verse LLC and are protected by applicable intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, logos, or proprietary information without our prior written consent.

13. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our data practices.

14. No Uptime Guarantee

College Verse LLC does not guarantee any specific level of uptime, availability, or performance of the Service. The Service may be temporarily unavailable due to scheduled maintenance, unplanned outages, third-party service failures (including AI model providers), or other causes beyond our reasonable control. We shall not be liable for any damages or losses resulting from Service unavailability or degraded performance.

15. Force Majeure

College Verse LLC shall not be liable for any delay or failure to perform its obligations under these Terms to the extent such delay or failure is caused by circumstances beyond our reasonable control, including but not limited to: acts of God, natural disasters, pandemics, war, terrorism, government actions, internet or telecommunications failures, power outages, cyberattacks, or the failure of third-party service providers. In such events, our obligations will be suspended for the duration of the force majeure condition.

16. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. COLLEGE VERSE LLC DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. GIVEN THAT THE SERVICE IS IN BETA, FEATURES MAY BE MODIFIED, SUSPENDED, OR DISCONTINUED AT ANY TIME WITHOUT LIABILITY.

17. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, COLLEGE VERSE LLC AND ITS MEMBERS, MANAGERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

18. Indemnification

You agree to indemnify, defend, and hold harmless College Verse LLC and its members, managers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Service, your User Content, or your violation of these Terms.

19. Export Controls

You agree to comply with all applicable U.S. export control laws and regulations. You represent and warrant that you are not located in a country subject to a U.S. government embargo and that you are not listed on any U.S. government list of prohibited or restricted parties.

20. Dispute Resolution, Arbitration, and Class Action Waiver

20.1 Informal Resolution First

Before initiating any formal dispute, you agree to contact us via the contact form on our website with a written description of the dispute. We will attempt to resolve the issue informally within 30 days. If we cannot reach a resolution, either party may proceed to arbitration as described below.

20.2 Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS. Any dispute, claim, or controversy arising out of or relating to these Terms or the Service that cannot be resolved informally shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, rather than in court. The arbitration shall be conducted in South Carolina or, at your election, via video conference. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

20.3 Class Action Waiver

YOU AND COLLEGE VERSE LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF CLASS OR REPRESENTATIVE PROCEEDING.

20.4 Exceptions

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm. You may also bring individual claims in small claims court if your claims qualify.

20.5 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of South Carolina, without regard to its conflict of law provisions.

21. General Provisions

21.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and College Verse LLC regarding the Service and supersede all prior and contemporaneous agreements, communications, or representations relating to the subject matter hereof. No prior drafts, emails, or promises made outside of these Terms shall be binding.

21.2 No Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. A waiver of any breach shall not constitute a waiver of any subsequent breach.

21.3 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, and the remaining provisions will continue in full force and effect.

21.4 Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Platform and updating the effective date. Your continued use of the Service after such changes constitutes your acceptance of the revised Terms.
